These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and IQ-Wallet ("we", "us", "our") governing your access to and use of the IQ-Wallet mobile application ("App") and all related services ("Service").
By downloading, installing, accessing, or using the App, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not use the App.
If you are using the App on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.
We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will:
We will provide at least 14 days' advance notice before material changes take effect, except where changes are required by applicable law or relate to new features that do not diminish your rights, in which case they may take effect immediately.
Your continued use of the App after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

You may create an Account using an email address and password, or via a supported third-party authentication provider (currently Apple Sign-In and Google Sign-In). You agree to provide accurate, current, and complete information during registration and to keep your Account information up to date.

Each person may maintain only one Account. Creating multiple Accounts to circumvent restrictions (including the one-trial-per-person policy) is prohibited.
New users who register an Account receive a 14-day free trial of the full Service from the date of account creation ("Trial Period").
Important subscription information required by Apple App Store and Google Play Store:
IQ-Wallet offers auto-renewing subscriptions. Payment will be charged to your App Store or Google Play account at confirmation of purchase. Your subscription automatically renews unless you cancel it at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscription in your device's App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period — you will retain access until that date.
Prices are displayed in USD. The actual amount charged may vary based on your local currency and applicable taxes as determined by the App Store at the time of purchase. All prices include applicable taxes where required by law.
All Subscriptions are processed exclusively through the Apple App Store (for iOS users) or Google Play Store (for Android users). Billing is governed by the applicable App Store's terms and policies. We do not collect, process, or store your payment card details. Apple or Google is the merchant of record for all purchases.
Payment is charged to your App Store / Google Play account upon purchase confirmation. Subscription billing begins immediately upon purchase (not at the end of any Trial Period).
Subscriptions automatically renew for the same period and at the same price (subject to Section 7.5) unless cancelled at least 24 hours before the end of the then-current billing period. The renewal charge is debited to your App Store / Google Play account within 24 hours before the renewal date. You authorise such charges by initiating a Subscription.
To cancel your Subscription and prevent auto-renewal:
You can also access the subscription management page directly from within the App (Settings → Account → Manage Subscription). We are unable to cancel subscriptions on your behalf, as cancellation must be processed through the platform where the Subscription was purchased, in accordance with Apple's and Google's requirements.
Following cancellation, you will continue to have access to the Service until the end of the then-current paid period. No partial refunds are issued for unused time within a billing period.
We may change Subscription prices at any time. We will provide notice of any price change through the App and/or by email to your registered address at least 30 days before the change takes effect. Price changes do not apply to the current billing period; they apply upon your next renewal after the effective date. If you do not agree with a price change, you must cancel your Subscription before the renewal date on which the new price would apply. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.
All purchases and billing are processed by Apple or Google. We do not issue refunds directly. All refund requests are subject to and governed by the App Store's or Google Play's respective refund policies:
Nothing in this Section limits your statutory rights under applicable consumer protection law, including mandatory withdrawal rights where applicable in your jurisdiction.
Subscription prices may be subject to local taxes, goods and services taxes, value added tax (VAT), or similar charges as determined by Apple or Google based on your billing address. Any such taxes are included in or added to the price charged by the App Store.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the App on a device you own or control, solely for your personal, non-commercial financial management purposes.

We reserve the right to investigate suspected violations of these restrictions and to take appropriate legal action, including without limitation, cooperating with law enforcement authorities.
You retain full ownership of all User Data you input into the App. We do not claim any ownership over your financial data, transaction records, or other information you provide.
By using the Service, you grant us a limited, non-exclusive, royalty-free licence to process, store, and use your User Data solely for the purpose of providing the Service to you, as described in our Privacy Policy. This licence terminates upon account deletion.
You are solely responsible for the accuracy, completeness, and legality of any User Data you enter into the App. We are not responsible for errors, omissions, or inaccuracies in User Data provided by you.
We take reasonable technical precautions to preserve your User Data, but we do not guarantee against data loss. You are solely responsible for maintaining independent backups of any data you consider critical. We recommend exercising your data portability rights (see our Privacy Policy, Section 12.1) periodically to obtain a copy of your data.
The Service includes an AI Financial Advisor and an AI-powered receipt scanner. The following terms apply to all AI Features:
IQ-Wallet is a personal finance tracking and organisation tool. It is NOT a regulated financial service, investment adviser, broker, tax adviser, or financial counsellor.
The Service integrates with or links to third-party services, including Apple App Store, Google Play Store, Apple Sign-In, Google Sign-In, and RevenueCat. Your use of these third-party services is governed by their respective terms and policies. We have no control over, and accept no responsibility for, the content, privacy practices, or terms of any third-party service.
The App Store's end-user licence agreement (EULA) terms are incorporated into these Terms by reference with respect to your use of the App on Apple devices. Apple is not a party to these Terms and is not responsible for the App or its content.
The Service and all of its Content (excluding User Data), including but not limited to software, source code, design, graphics, logos, trademarks, trade names, service marks, text, and the IQ Financial Score algorithm, are owned by or licensed to us and are protected by applicable intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in or to our intellectual property, except for the limited licence expressly set out in Section 8.
If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, modify, adapt, publish, and incorporate such feedback into the Service without any obligation to you.
Our collection and use of personal data in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the processing of your personal data as described in the Privacy Policy. You represent that all personal data you provide is accurate and that you are authorised to provide it.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.

Some jurisdictions do not permit the exclusion of certain warranties. In such jurisdictions, the foregoing exclusions apply only to the extent permitted by applicable law. Your statutory rights as a consumer are not affected.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.
In jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages, our liability is limited to the maximum extent permitted by applicable law.
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless IQ-Wallet and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
We reserve the right, at our own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence.
We shall not be liable for any failure or delay in performance of our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government actions, power failures, internet infrastructure outages, or failures of third-party service providers.
You may terminate your Account and these Terms at any time by deleting your Account via App → Settings → Account → Delete Account. Upon deletion, all your personal data is permanently erased as described in our Privacy Policy. If you have an active Subscription, you should cancel it through the App Store prior to account deletion to prevent further billing; account deletion does not automatically cancel a Subscription.
We may suspend or terminate your Account and access to the Service immediately, with or without notice, if:
In the event of termination by us without cause, we will provide you with a pro-rata refund of any prepaid Subscription fees for the unused portion of your current billing period, to the extent we are able to do so via the applicable App Store.
Upon termination of your Account for any reason: (a) all rights and licences granted to you under these Terms immediately cease; (b) we will delete your personal data in accordance with our Privacy Policy; and (c) provisions of these Terms that by their nature should survive termination shall survive, including Sections 8.2, 12, 14, 16, 17, 18, 21, 22, and 23.
Before initiating any formal legal proceedings, you agree to contact us first at support@iq-wallet.com and give us 30 days to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any dispute amicably.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions.
Subject to Section 21.1, any disputes arising out of or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts located in Ukraine.
Notwithstanding Sections 21.2 and 21.3, if you are a consumer resident in the European Union, the United Kingdom, or any other jurisdiction that provides mandatory consumer protection rights, nothing in these Terms shall deprive you of the protection afforded to you by the mandatory provisions of the law of your country of habitual residence. In such cases, certain mandatory provisions of your local law may apply in addition to or instead of the above.
EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any breach shall not constitute a waiver of any subsequent breach.
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, to any successor in connection with a merger, acquisition, or sale of assets, provided that the successor agrees to be bound by these Terms and applicable privacy obligations.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us with respect to the Service and supersede all prior agreements, representations, warranties, and understandings between the parties relating to the subject matter hereof.
Except as expressly provided herein, these Terms do not create any third-party beneficiary rights. Apple and Google are third-party beneficiaries of these Terms with respect to the use of the App on their respective platforms and may enforce these Terms against you as a third-party beneficiary.
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any conflict or discrepancy.
